Terms of Service
These Terms of Service ("Terms") govern your use of the services provided by The Solva Group ("we", "us", or "our"), operated by Mark Hanna, based in Melbourne, Australia. By engaging our services, you ("Client", "you") agree to be bound by these Terms.
1. Services
The Solva Group provides B2B revenue growth services, including:
- SDR & Lead Generation - Outsourced sales development, outbound prospecting, and appointment setting
- Lead Lists On Demand - Custom-built, verified B2B prospect lists delivered to your specifications
- Revenue Operations (RevOps) - CRM setup, pipeline management, and sales process optimisation
- Customer Success - Onboarding, retention, and expansion services for your existing customers
Specific deliverables, timelines, and scope will be outlined in your service agreement or order confirmation.
2. Payment Terms
All payments are processed securely via Stripe. By purchasing our services, you agree to the following:
- Retainer services (SDR, RevOps, Customer Success) are billed monthly at the start of each billing cycle.
- Lead lists are billed as a one-time payment at the time of order.
- All prices are in AUD unless otherwise stated.
- Invoices are due upon receipt. Late payments may incur a hold on service delivery.
- We reserve the right to adjust pricing with 30 days written notice for ongoing retainer engagements.
3. Refund Policy
We stand behind the quality of our work:
- Lead Lists: If more than 5% of email addresses in a delivered list bounce, we will provide a free replacement list of equal size at no additional charge. Bounce claims must be submitted within 14 days of delivery with supporting evidence (e.g., bounce report from your email platform).
- SDR Services: If we do not meet the agreed-upon KPIs during your first month of engagement, your second month of service is free. KPIs will be clearly defined in your service agreement before the engagement begins.
Refunds are not available for services already delivered. If you are unsatisfied with any aspect of our work, please contact us and we will work with you to make it right.
4. Service Delivery
We are committed to delivering services within the timelines advertised and agreed upon in your service agreement. Specifically:
- Lead lists are delivered within the timeframe specified at the time of order (typically 48 hours for standard lists).
- SDR campaigns are launched within the onboarding period specified in your agreement.
- We will communicate proactively if any delays arise and work to resolve them promptly.
5. Client Responsibilities
To ensure we can deliver effectively, you agree to:
- Provide ICP information: Share your Ideal Customer Profile, target industries, geographies, company sizes, and any other targeting criteria in a timely manner.
- Approve copy and messaging: Review and approve outreach copy, email sequences, and campaign materials within agreed timelines.
- Respond within 48 hours: Respond to our requests for information, approvals, or feedback within 48 hours to avoid delays in service delivery.
- Provide access: Grant necessary access to tools, platforms, and accounts required for service delivery (e.g., CRM, email sending infrastructure).
- Accurate information: Ensure that all information provided to us is accurate and up to date.
Delays caused by the Client's failure to meet these responsibilities may impact delivery timelines and are not grounds for refunds or credits.
6. Intellectual Property
- Client data: You retain full ownership of all data you provide to us and all prospect data we generate on your behalf (lead lists, contact information, campaign results).
- Our processes and templates: The Solva Group retains ownership of all proprietary processes, methodologies, playbooks, templates, frameworks, and tools used in the delivery of services. These may not be reproduced, distributed, or shared without our written consent.
- Campaign materials: Outreach copy and sequences created specifically for your engagement are yours to use. However, underlying frameworks and structures remain our intellectual property.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, customer data, pricing, and internal processes. This obligation survives the termination of these Terms.
8. Limitation of Liability
To the maximum extent permitted by law:
- The Solva Group's total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim.
- We are not liable for any indirect, incidental, consequential, or special damages, including lost profits, lost revenue, or lost business opportunities.
- We do not guarantee specific revenue outcomes, conversion rates, or sales results. Our services are designed to generate opportunities, but closing deals depends on many factors outside our control.
9. Termination
- Retainer services: Either party may terminate a retainer engagement with 30 days written notice. Notice must be sent via email to the other party's primary contact.
- One-time services: Lead list orders cannot be cancelled once production has begun.
- Immediate termination: We reserve the right to terminate services immediately if you breach these Terms, engage in fraudulent activity, or use our services for unlawful purposes.
- Upon termination, all outstanding fees become immediately due. We will deliver any completed work up to the termination date.
10. Use of Services
You agree not to use our services or the data we provide to:
- Send unsolicited spam or violate anti-spam legislation (including the Australian Spam Act 2003)
- Engage in any unlawful, deceptive, or fraudulent activity
- Resell or redistribute lead list data to third parties without our written consent
- Misrepresent your identity or the nature of your business
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised "Last updated" date. For active retainer clients, we will provide 30 days notice of any material changes via email.
